  5. Rationale
  6. During a review of Lutheran Church Extension Fund (LCEF)’s articles and bylaws, the Commission on Constitutional
  7. Matters stated the following in Opinion 24-3024, dated March 15–16, 2024:
  8. Synod Bylaw 3.6.1.3 (a) provides that a minimum of one-third of the voting members of the governing board
  9. of a synodwide corporate entity [including LCEF] shall be elected by the Synod in convention. Thus, with
  10. three voting members elected by the convention, LCEF’s board may contain no more than six appointed
  11. voting members; it presently has eight.
  12. In order to comply with the opinion, LCEF must either: (i) reduce the number of directors elected by LCEF’s members
  13. from eight to six, (ii) increase the number of directors elected by the Synod in convention from three to four, or (iii)
  14. implement some other combination that complies with the mathematical conclusion of the opinion. The LCEF Board of
  15. Directors has resolved that it is in the best interest of the good governance of LCEF, balancing the need for sufficient
  16. voices with that to avoid having too many voices, to increase the number of directors elected by the Synod in convention
  17. from three to four. To implement this change, it will be necessary to revise Synod Bylaw 3.6.4.3 (1), a bylaw that only
  18. applies to LCEF.
  19. Therefore be it
  20. Resolved, That Bylaw 3.6.4.3 (1) be amended as follows:
  21. PRESENT/PROPOSED WORDING
  22. The Lutheran Church Extension Fund—Missouri Synod
  23. 3.6.4.3 The board of directors for the Lutheran Church Extension Fund—Missouri Synod shall consist of such
  24. number of directors as are specified in the bylaws of The Lutheran Church Extension Fund—Missouri Synod.
  25. All voting members of the board of directors of the Lutheran Church Extension Fund—Missouri Synod shall
  26. serve a maximum of four three-year terms.
  27. 1. FourThree directors shall be elected by the Synod in convention and shall include one ordained or
  28. commissioned minister and twothree laypersons.
