  2. RESOLUTION 8-01

  4. (CW, 445)
  5. WHEREAS, Constitution Articles VII and XI establish the Synod as a voluntary association acting on behalf of its
  6. member congregations and vest final human authority in the Synod in convention; and
  7. WHEREAS, The Bylaws of the Synod charge the Board of Directors with fiduciary responsibility for the Synod’s
  8. business and financial affairs (Bylaws 3.3.4.4–5) and require reporting to the Synod in convention concerning the
  9. administration of those affairs (Bylaw 3.3.4); and
  10. WHEREAS, These and other Bylaws of the Synod establish an accountability structure that depends upon the keeping
  11. and reporting of official records and financial information for the governance of the Synod, while permitting appropriate
  12. confidentiality through executive session, personal privacy, and legal privilege; and
  13. WHEREAS, Bylaw 1.5.4 states that:
  14. 1.5.4 The Synod and each of its agencies shall fully disclose their financial books and records to any member
  15. congregation of the Synod.
  16. (a) Full disclosure includes all information (including, but not limited to, information required to be
  17. made available under state law) recorded in any fashion, except the following:
  18. (1) Information that would violate the expected confidentiality of donors.
  19. (2) Personnel files or other information that would violate the expected confidentiality of
  20. employees.
  21. (3) Information that relates to in-process negotiations of financial matters.
  22. (4) Information the disclosure of which would breach a legal obligation of the Synod or its agencies
  23. or affect pending litigation or claims against the Synod or its agencies.
  24. (5) Information that is preliminary in nature or otherwise has not been finalized in its form and
  25. content.
  26. therefore be it
  27. Resolved, That the Synod in convention commend the process outlined in Bylaw 1.5.4; and be it further
  28. Resolved, That we give thanks to the Lord for His provision, for the faithful support by God’s people and good
  29. stewardship of His resources, and we rejoice in these things as they enable our work of the Synod’s mission.
